Every business must consider un-paid invoices carefully and decide upon the right strategy and execution.

Clarity for the people in the business is crucial and there is much to consider, such as:

  • Via what method do you chase the invoice? Email, post, call?
  • How long do you wait before threatening action?
  • How much flexibility do you want (of can) afford to the debtor?
  • Is there a commercial consideration? E.g. is this a long-term loyal customer? Is this a customer to whom the business heavily relies upon? Is there a danger in losing the customer if not handled correctly?

When un-paid invoices become a serious consideration for the business there are a range of options.

Each business may need a different strategy due to the nature of their business, the product or service they provide, and the customer relationships.

You may need a different strategy as a retailer to that of a professional in the services industry. Your customer may be a one-off customer purchase rather than a long-term customer you wish to retain.

Be aware in England, Wales and Northern Ireland, the Limitation Act 1980 causes a debt to become unenforceable after 6 years. In Scotland, the Prescription and Limitation (Scotland) Act 1973 causes a debt to become unenforceable after 5 years in Scotland.

Deciding upon the right strategy for your business is crucial but what are your options? Below is a summary of the choices your business has:

An initial payment reminder can be polite and clear

Depending on your industry, relationship and personal choice this can be via phone, email or letter. We would recommend email to avoid any conflict or emotion and to ensure a clear record is available of the steps taken. Often reminding the debtor that the payment is now overdue is enough to prompt payment.

Find out further information

If a polite initial reminder is unsuccessful providing the business with an opportunity to confirm why, what they can do, and that you are willing to help can often lead to a positive outcome. Is the debtor suffering a temporary cash-flow problem? Is it something wider that would concern you moving forward? Can you agree to a flexible repayment method?

Formal letter

If you continue to be ignored, or, your good faith is not rewarded, and the debtor does not comply with any date for payment then a formal reminder letter for continued outstanding invoice payment should be used. This is a letter of reminder to a debtor that an amount has not been paid under an invoice despite a previous reminder. The letter specifies where interest and reasonable recovery costs are payable and calculates the relevant amounts.

Present and future?

We would recommend trying to find out from the business what the present and future relationship looks like. Try to speak to them, off the record, to understand whether this is a deliberate tactic due to them being unhappy with you or your service. Is it because of a temporary cash-flow problem? Is it due to something wider which means the liquidity of the customer must be questioned?

If all else fails you can (subject to various terms) consider the below options. Generally, it is important to know the debtor has or is likely, to have the funds available to pay you:

Instruct a debt collector

Fees range from between 5% and 15% of the invoice being pursued and many operate on a ‘No Win, No Fee’ basis.

Issue County Court proceedings

Money Claim Online is an internet service to quickly issue court proceedings for sums of £100,000 or less. If the debtor does not pay, or successfully defend the claim, they will receive a CCJ which will adversely affect their ability to secure borrowing. It is cheaper to use the online service than via the County Court directly.

Issue a Statutory Demand

We would strongly recommend obtaining legal advice before taking this step. A key consideration is “will the business want to avoid a compulsory liquidation?” If the debtor has a prospect (this does not necessarily need to be a good prospect) of defending the claim then the Statutory Demand can be set aside and leave you with an adverse cost order. Our panel solicitors are experts in this area and can advise you to ensure you make the right decision. If you issue a Statutory Demand the parties have 18 days to resolve the issue and if not the debtor must pay in full within a further three days (21 days in total). Once this period is up you can wind the offending company up (compulsory liquidate) to try and get what is owed.
